Terms of Service
Effective Date: January 31, 2026
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and StackAI ("Company," "we," "us," or "our"), a company operating under the laws of Ontario, Canada. By accessing or using our synthetic data generation platform and API (the "Service"), you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Service.
1. Definitions
- "API" means our application programming interface through which you access the Service.
- "API Key" means the unique authentication credential issued to you for API access.
- "Generated Data" means synthetic data produced by the Service in response to your requests.
- "Job" means a single data generation request submitted to the Service.
- "License Type" means the data usage rights selected at the time of generation (Private, Platform Cache, or Marketplace).
- "Subscription" means your paid service tier (Free, Starter, Pro, or Scale).
2. Eligibility
To use the Service, you must:
- Be at least 18 years of age or the age of legal majority in your jurisdiction
- Have the legal authority to enter into binding contracts
- Not be prohibited from using the Service under applicable laws
- If acting on behalf of an organization, have authority to bind that organization to these Terms
By creating an account, you represent and warrant that you meet these eligibility requirements.
3. Account Registration and Security
3.1 Account Creation. You must provide accurate, complete, and current information when creating an account. You agree to update this information to maintain its accuracy.
3.2 Account Security. You are responsible for:
- Maintaining the confidentiality of your password and API Keys
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
3.3 API Key Security. API Keys are sensitive credentials. You must not share, publish, or expose your API Keys. If you believe an API Key has been compromised, you must revoke it immediately through your dashboard and generate a new one.
4. Service Description
4.1 What We Provide. StackAI provides an API for generating synthetic data suitable for machine learning training, evaluation, and fine-tuning. The Service uses large language models to produce data in structured formats.
4.2 Data Schemas. We support multiple data schemas including:
- instruction_v1: Instruction-response pairs for supervised fine-tuning
- preference_v1: Paired responses with preference labels for RLHF
- eval_v1: Evaluation datasets for benchmarking
4.3 No Guarantees. While we strive for high-quality output, Generated Data is produced by AI models and may contain errors, biases, or inaccuracies. You are responsible for validating Generated Data before use in production systems.
5. Data Licensing Options
When submitting a Job, you select one of three License Types:
5.1 Private License
- You retain exclusive rights to the Generated Data
- We will not use, cache, or share your Generated Data
- Data is deleted from our systems after the retention period (default: 90 days)
- Standard pricing applies
5.2 Platform Cache License
- You grant us a non-exclusive license to cache and serve similar data to other users
- You retain full rights to use the Generated Data
- You receive a 25% discount on generation costs
- Cached data is anonymized and aggregated; your identity is never disclosed
5.3 Marketplace License
- You grant us rights to publish the Generated Data for sale in our marketplace
- You receive 80% of net revenue from each sale
- You receive a 50% discount on generation costs
- You retain rights to use the Generated Data yourself
- Generated Data is subject to quality review before publication
License selection is final. Once a Job is submitted with a License Type, it cannot be changed. Choose carefully.
6. Acceptable Use Policy
6.1 Permitted Uses. You may use the Service for lawful purposes including:
- Training and fine-tuning machine learning models
- Evaluating and benchmarking AI systems
- Research and development
- Creating training datasets for commercial applications
6.2 Prohibited Uses. You must not use the Service to:
- Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Generate content that promotes violence, discrimination, or hatred against individuals or groups
- Generate content involving the exploitation of minors
- Generate content that infringes on intellectual property rights of third parties
- Generate personal data or data intended to identify real individuals
- Attempt to reverse-engineer, decompile, or extract the underlying models
- Circumvent rate limits, usage caps, or security measures
- Resell or redistribute API access without authorization
- Use the Service in any manner that could damage, disable, or impair the Service
6.3 Enforcement. We reserve the right to suspend or terminate your access for violations of this policy, with or without notice, at our sole discretion.
7. API Usage and Rate Limits
7.1 Rate Limits. API requests are subject to rate limits based on your subscription tier. Current limits are displayed in your dashboard and in API response headers. Exceeding rate limits may result in temporary request rejection (HTTP 429).
7.2 Concurrent Jobs. Each subscription tier has a maximum number of concurrent generation jobs. Additional job requests will be queued or rejected until existing jobs complete.
7.3 Monthly Limits. Subscription tiers include monthly record generation limits. Usage beyond these limits may incur additional charges or require a tier upgrade.
7.4 Fair Usage. We reserve the right to throttle or suspend access for usage patterns that negatively impact service quality for other users, including but not limited to: automated abuse, distributed circumvention of limits, or resource-intensive requests.
7.5 API Versioning. We may update or deprecate API versions. We will provide reasonable notice before removing support for API versions you are actively using.
8. Intellectual Property
7.1 Our Intellectual Property. The Service, including its software, algorithms, user interface, documentation, and branding, is owned by StackAI and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service.
7.2 Your Intellectual Property. You retain ownership of any content you provide to the Service (such as domain specifications and constraints). You grant us a limited license to process this content solely to provide the Service.
7.3 Generated Data Ownership. Subject to the License Type selected:
- Private License: You own the Generated Data
- Platform Cache License: You own the Generated Data; we have a license to cache and serve similar data
- Marketplace License: You own the Generated Data; we have a license to sell it with royalties to you
7.4 No Warranty of Originality. Generated Data is produced by AI models trained on diverse sources. We do not warrant that Generated Data is original, unique, or free from similarities to existing content.
9. Payments and Billing
8.1 Pricing. Current pricing is displayed on our website and in the API. Prices are in US Dollars unless otherwise specified.
8.2 Subscriptions. Paid subscriptions are billed monthly or annually in advance. Subscriptions automatically renew unless cancelled before the renewal date.
8.3 Usage Charges. Per-record charges are calculated based on the number of records generated and the License Type selected. Usage is billed at the end of each billing period.
8.4 Payment Processing. Payments are processed by Stripe, Inc. By providing payment information, you agree to Stripe's terms of service. We do not store your full payment card details.
8.5 Taxes. Prices exclude applicable taxes. You are responsible for all taxes associated with your use of the Service, except for taxes on our income.
8.6 Refunds. Subscription fees are generally non-refundable. We may, at our discretion, provide refunds or credits in cases of service outages or billing errors.
8.7 Price Changes. We may change pricing with 30 days' notice. Price changes do not affect the current billing period for existing subscriptions.
10. Service Availability
9.1 Availability. We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control.
9.2 Modifications. We may modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice for material changes that negatively affect your use.
9.3 Third-Party Dependencies. The Service relies on third-party providers (including AI model providers and cloud infrastructure). We are not responsible for outages or changes caused by these providers.
11. Limitation of Liability
11.1 Disclaimer of Warranties. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11.2 Limitation of Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, STACKAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.
11.3 Cap on Liability. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless StackAI and its officers, directors, employees, and agents from any third-party claims, demands, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third-party rights, including intellectual property rights
- Your Generated Data, including any claim that it infringes or misappropriates third-party rights
- Any content, data, or materials you submit to the Service
We will provide you with prompt notice of any such claim and reasonable cooperation in its defense. You may not settle any claim without our prior written consent if the settlement would impose any obligation on us or admit liability on our behalf.
13. Termination
12.1 Termination by You. You may terminate your account at any time through your account settings or by contacting support. Termination does not entitle you to refunds for prepaid amounts.
12.2 Termination by Us. We may suspend or terminate your account immediately if you violate these Terms. We may also terminate your account for any reason with 30 days' notice.
12.3 Effect of Termination. Upon termination:
- Your right to use the Service ends immediately
- Your API Keys are revoked
- Generated Data under Private License is deleted according to our retention policy
- Outstanding payment obligations remain due
- Sections 7, 10, 11, 13, and 14 survive termination
14. Governing Law and Jurisdiction
13.1 Governing Law. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
13.2 Jurisdiction. You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada for any disputes arising from these Terms or the Service.
13.3 Waiver of Jury Trial. To the extent permitted by law, you waive any right to a jury trial in any proceeding arising from these Terms.
15. General Provisions
15.1 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and StackAI regarding the Service.
15.2 Amendments. We may amend these Terms at any time by posting updated Terms on our website. Material changes will be notified via email or through the Service. Continued use after changes constitutes acceptance.
15.3 Waiver. Our failure to enforce any provision does not waive our right to enforce it later.
15.4 Severability. If any provision is found unenforceable, the remaining provisions continue in effect.
15.5 Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
15.6 Force Majeure. We are not liable for failures due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, or infrastructure failures.
